Platform Provider :
Microsoft Advertising (operated by Microsoft Corporation)

1. Purpose
This Agreement governs the terms under which the Advertiser will use Microsoft Advertising services (the "Platform") to display advertisements ("Ads") for its veterinary services.

2. Definitions

• Ad Content : Text, images, videos, or other materials provided by the Advertiser for use in Ads.
• Campaigns : Advertiser’s promotional activities managed through the Platform.
• Intellectual Property (IP) : Trademarks, copyrights, or proprietary rights owned by either party.

3. Advertising Services
3.1 Placement : Microsoft will display Ads on its network (e.g., Bing, MSN) per Campaign specifications.
3.2 Compliance : Advertiser agrees to adhere to Microsoft’s Advertising Policies .

4. Advertiser Obligations
4.1 Content Accuracy : Ensure all Ad Content is truthful, non-deceptive, and complies with U.S. laws.
4.2 Prohibited Content : Ads must not include:

• Malicious software, false claims, or misleading pricing.
• Content violating Microsoft’s policies (e.g., discrimination, adult services).
  4.3 Landing Pages : Destination URLs must match Ad Content and provide clear contact information.

5. Payment Terms
5.1 Billing : Advertiser agrees to pay for clicks/impressions as per Microsoft’s billing system.
5.2 Taxes : Advertiser is responsible for all applicable taxes.
5.3 Late Payments : Overdue amounts incur a 1.5% monthly fee.

6. Confidentiality
Both parties agree to protect confidential information disclosed during the Agreement.

7. Liability
7.1 Advertiser Liability : Advertiser is solely responsible for Ad Content and Campaign compliance.
7.2 Platform Liability : Microsoft is not liable for technical issues, downtime, or third-party actions.

8. Termination
Either party may terminate this Agreement with 30 days’ written notice. Microsoft reserves the right to suspend/terminate Ads violating its policies.

9. Amendments
Microsoft may update terms with 14 days’ notice. Continued use of the Platform post-update constitutes acceptance.

10. Governing Law
This Agreement is governed by the laws of the State of Washington, USA.

11. Notices
All notices to Microsoft must be sent via the Platform’s support portal.

By using Microsoft Advertising, Advertiser accepts this Agreement.
